Access and use of the Service

Service Description: The Service is designed to allow service providers ("HipHosts" or "hosts" to list experiences that can be purchased ("booked") and purchased by users ("you", "users").

Your Registration Obligations: You are required to sign up on www.hiphost.com in order to access and use certain features of the Service. If you choose to sign up for the Service, you agree to provide and maintain accurate, truthful, current and complete information about yourself.

If you are under 13 years of age, you are not authorized to use the Service, with or without registering. If you are under 18, you must have the approval of a parent or guardian to use the Service as a user or HipHost.

Member Account, Password and Security: You are responsible for keeping your account and password confidential, and agree to immediately notify HipHost of any unauthorized use of your password or account. Ensure that you sign out from your account at the end of each session. HipHost is not liable for any loss or damage from failure to comply with this section.

Modifications to Service: HipHost reserves the right to modify or discontinue the Service with or without notice. You agree that HipHost is not liable to you or any third party for any modification, suspension or discontinuation of the Service.

Use and Storage: You agree that HipHost has no responsibility or liability for the deletion or failure to store any data or content that appears on or is transmitted by the Service. HipHost reserves the right to terminate accounts that are inactive for an extended period of time. HipHost also, in our discretion and without liability to you, with our without cause, with or without prior consent, have the right to terminate your access to our Services, delete any of your accounts and all related information and files in such accounts and/or bar your access to any of such files or Services.

Conditions of Use

User Conduct: You are solely responsible for all information, data, text, photographs, video, messages and other material ("content") that you upload, post, or display, whether as a HipHost or user. Illegal and/or inappropriate content, as deemed so by us, is restricted from the site. We have the right to investigate and take legal action against illegal or inappropriate behavior or content posted on the Site.

You also agree not to interfere with or damage our Services, including the use of viruses, Trojan horses, harmful codes, forged routing or similar methods of technology.

User Fee Terms: When making a booking, the user will be required to enter personal information which may include billing address, name and credit card information. Once a user makes a booking request, their credit card will be authorized but not charged until the host confirms the request. Hosts will be paid within 3 days of delivering the experience as promised less a 20% fee paid to HipHost. Guests will pay a 6-12% fee at the time their booking request is confirmed, determined by the total price of the booking.

Cancellation and Refunds: If you wish to cancel or obtain a refund for an experience, please refer to the specific cancellation terms that the Host has designated for each experience. HipHost will mediate any claims by guests for non–delivery of services by hosts.

International Use: Recognizing the global nature of the Internet, you agree to comply with all local rules and laws regarding your use of the Service, including online conduct and acceptable content.

Intellectual Property, Service Content, Software and Trademarks:

All material on our Site is protected by rights of publicity, copyright, trademarks, patents, trade secrets or other proprietary rights and laws. Except as expressly authorized by HipHost, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Service content. You may use such material only in the course of your normal, personal, non–commercial use of our Site.

You may not use any of our trademarks as meta tags on other websites, written materials or otherwise. You may, however, establish ordinary links to our homepage of the Site without permission.

Third Party Material: HipHost is not liable for content posted by third parties. You acknowledge that we do not pre–screen content. The Service or third parties may provide links or other access to other sites and resources on the Internet. HipHost has no control over such sites and resources and HipHost is not responsible for and does not endorse such sites and resources.

User Content Posted on the Site: You acknowledge that you are solely responsible for the content you post through the Service or the Site, including what you transmit or share with other users and HipHosts. By posting any user content you grant and will grant HipHost a nonexclusive, worldwide, royalty free, irrevocable license to copy, display, transmit, perform, distribute, store, modify and otherwise use your content in connection with the operation of the Service.

HipHost Experiences

All experiences made available in connection with the Service are promotional offers that are made available directly by the relevant HipHost (not HipHost itself) and are redeemable solely for the applicable goods or services of the relevant HipHost. The HipHost, not HipHost, is the provider of the experience and is solely responsible for providing the goods or services pursuant to any experience that is purchased.

Taxes: HipHost does not do business as an owner or operator of tours or experiences, nor do we act as an agent for any providers of tours or experiences. HipHost merely makes available a marketplace for users and HipHosts to meet and arrange experiences. HipHost's role is solely to facilitate the availability of this marketplace for the HipHost and user and to provide services related thereto, and any agreement is solely between the HipHost and User, and not HipHost. You understand that we are acting solely as an intermediary between you and any HipHosts with whom you choose to enter into a transaction. IRS regulation, regarding federal tax reporting requirements, stipulates that HipHost must collect IRS Form W–9 from any property owners in the United States that earn more than $600 in 2011. Because state and local tax laws vary significantly by locality, you understand and agree that you are solely responsible for determining your own tax reporting requirements in consultation with tax advisors. We cannot and do not offer tax advice to either HipHosts or users.

Indemnity and Release

We take no responsibility in the event that you have a dispute with one or more users, or HipHosts. You shall indemnify and hold us harmless from any third–party claim, demand, action, damage, loss, cost or expense, including without limitation reasonable attorneys' fees, arising out or relating to your use of our Services or alleging facts or circumstances that, if true, could constitute your breach of any of these Terms. We will control any such defense and related settlement and you will reasonably assist us therewith at your expense.

Legal Compliance

You shall use our Services in a manner consistent with any and all applicable local, state, national and international laws and regulations.

General

These Terms of Use constitute the entire agreement between you and HipHost and govern your use of the Service, superseding any prior agreements between you and HipHost in regards to the Service.

Your Privacy

We respect your privacy. For details, please see our Privacy Policy. By using the Service, you consent to our collection and use of personal data as outlined therein.

Disclaimer of Warranties

We shall not be liable for damages of any kind, even if we have been advised of the possibility of such damages. If you use our Services, you do so at your sole risk. You acknowledge and agree that HipHost does not check any HipHost or other user's background or record. Hiphost.com is a reputation–based system. Make use of other user's comments on HipHosts when available. Use common sense. Be aware and safe. We expressly disclaim, and you waive, all warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose and non–infringement.
